Bylaws

Preamble
The Alabama Junior Cattlemen’s
Association, herein after referred to as the AJCA, is the official youth
organization of the Alabama Cattlemen’s Association. The bylaws of the
AJCA, as ratified by the membership of the AJCA and approved by the
Executive Committee of the Alabama Cattlemen’s Association are to serve
as a framework within which the affairs of the AJCA shall be conducted.
Article I
– Objectives
- To prepare
new members for membership in the Alabama Cattlemen’s Association and
the Alabama Cattlewomen’s Association through activities that promote
the advancement of beef and the beef cattle industry in Alabama.
- To educate
AJCA members on beef and the beef cattle industry in Alabama.
- To assist the
Alabama Cattlemen’s Association and the Alabama Cattlewomen’s
Association in the promotion of beef and the beef cattle industry in
Alabama.
- To promote
and improve scholarship and leadership among members of the AJCA.
Article II
– Membership
- Active members shall include any youth in the
state of Alabama whom hold an interest in the beef cattle industry or
any of its components including the production, feeding, and marketing
of cattle and beef.
- Active members shall be persons twenty-one years
of age or under as of January 1 of the membership year who have paid
their membership dues.
- Membership dues shall be determined by the AJCA
Board of Directors. Dues are payable annually to establish and maintain
AJCA membership through age twenty-one.
Article III
– Voting
- Each active member of the AJCA is entitled to one
vote in all at-large elections and other at-large procedures of the AJCA.
- No voting by proxy shall be allowed, nor shall any
active member vote in more than one capacity or represent more than one
member.
- Votes by active members, except those cast by
directors in special elections or those agreed to by open acclamation of
a majority of the AJCA membership, shall be cast by ballot.
- Each district shall independently vote by ballot
to elect two directors to serve on the Board of Directors during the
AJCA annual meeting.
- All present active members at the annual meeting
will vote by ballot to elect the two at-large directors.
- The voting districts shall be determined by the
AJCA Board of Directors.
Article IV
– Board of Directors
- The Board of Directors shall be comprised of two
directors from each district as well as two at-large directors and an
ex-officio officer. The ex-officio office shall be filled by the
President of the Board from the previous year.
- Directors shall be at least fifteen years of age
at the time of election.
- Directors shall each serve a one year term and may
not serve more than three terms unless an additional term is served as
the ex-officio officer.
Article V
– Officers
- Officers shall be elected from the Board of
Directors by the eleven members of the Board of Directors.
- The officers shall include President,
Vice-President, Secretary, and a Treasurer.
- The President shall preside over all meetings of
the AJCA and the Board of Directors and will be held accountable to the
AJCA membership, the Board of Directors, and the ACA Executive
Committee.
- The Vice-President shall assume the President’s
responsibilities in the event that the President is absent from an AJCA
meeting or a meeting of the AJCA Board of Directors.
- The Secretary shall record and keep minutes at
each AJCA meeting and Board of Directors meeting. Such record shall be
subject to review and scrutiny by the Board of Directors and the ACA
Executive Committee.
- The Treasurer shall give a report of the financial
state of the AJCA at AJCA meetings and meetings of the AJCA Board of
Directors.
Article VI
– Procedure
- The deliberation of all meetings of the AJCA and
the Board of Directors shall be governed by Roberts Rules of Order.
Article VII
– Affiliation
- The AJCA shall be affiliated with and sponsored by
the Alabama Cattlemen’s Association with offices at 201 South Bainbridge
Street, Montgomery, Alabama 36104. The official address of the AJCA
shall be the same as that of the Alabama Cattlemen’s Association.
Article VIII
– Advisory Board
- The Executive Committee of the Alabama Cattlemen’s
Association as well as designated Alabama Cattlemen’s Association staff
members shall serve as the advisory board to the AJCA.
Article IX
– Amendments
1.
The bylaws of the AJCA may be altered or amended at the AJCA annual
meeting. Any changes to the bylaws must be submitted to the ACA staff
members serving as advisors to the AJCA at least ten days prior to the AJCA
annual meeting.
